Terms of service

1. Who these terms bind
These terms are a contract between you and Netarkauf SRL, a company registered in Romania, which runs Pinework.
"You" means the business that opens a Pinework company, and every person it lets in. The person who signs up confirms they may bind that business.
Pinework is for businesses and professionals. You must be 18 or over. Do not use Pinework as a consumer, for personal or household purposes.
You accept these terms when you create an account. If you do not accept them, do not use Pinework.
2. What Pinework is
Pinework runs AI agents. An agent is a named identity that does work with the access you give it.
Each run is one agent doing one unit of work, with one model, in one environment. That environment is a cloud sandbox we provide, or a device you connect.
Pinework is in early access. We add, change and remove features often. Some features are labelled beta and may not work.
3. Your account
Keep your sign-in details safe. Tell us at once at contact@pinework.ai if someone gets into your account.
You are responsible for everything done through your account. That includes every run of every agent in your workspaces.
A company holds your plan. A workspace holds your work. The people you add act under your account. You choose their access and remove it when they leave.
4. What your agents do
Agent actions. An agent can run commands, write and change code and files, call tools, use your connections, send messages and spend money at other services. Each of these is an agent action.
You authorise them. You authorise every agent action that falls within the access, secrets, connections and settings you give the agent. That holds even when the agent acts on its own, and even when you did not expect the action.
Models make mistakes. Agents run on AI models. Their output can be wrong, incomplete, unsafe or not what you asked for. Check it before you rely on it.
Approvals are aids. Approvals, questions and tool permissions help you control agents. They do not catch every harmful action, and they cannot undo an action that already happened.
Review before anything you cannot undo. That includes deploying to production, deleting data, moving money, changing permissions, messaging outsiders and making commitments for your business. Keep backups and a way to roll back.
Devices. A run on a device you connect acts with the access of the user account that runs Pinework on that device. You decide what that account can reach.
Cloud sandboxes. A cloud run gets the repositories, secrets and credentials you give it. Give each agent only what its work needs.
The result is yours.You are responsible for what your agents do and its consequences. That includes charges, messages, changes to systems, and breaches of other services' terms. We are not liable for an agent action, except to the extent our intent or gross negligence caused the harm.
You can stop any run at any time.
5. Models and model vendors
Pinework does not sell model use today. You bring the model, in one of two ways:
- a provider key: your own key from a model vendor you pick
- a subscription: your own subscription at a model vendor, signed in through Pinework.
Your prompts, files and code go to that vendor under your account and its terms. You pay that vendor directly.
You must follow that vendor's terms, including any rule on using a subscription through other software. If a vendor limits, suspends or charges your account, that is between you and the vendor.
We do not control model vendors. We are not responsible for their output, outages, prices, data use or changes.
Nothing in Pinework caps what you spend at a model vendor or any other service. Set limits with those vendors yourself.
6. Connections and other services
When you connect another service, you tell Pinework and your agents to use it with the access you grant. You confirm you are allowed to grant that access.
That service's own terms apply. We are not responsible for it, its security or its availability.
7. Your content
Your content is what you and your agents put into Pinework or make in it: tasks, comments, files, wiki pages, instructions, code, run transcripts and output.
You own your content. As between you and us, you own the output your agents make, to the extent the law lets anyone own it. Output may resemble what others get, and we do not promise it is free of third-party rights.
You give us a licence to store, copy, process and send your content only to run Pinework for you, as our privacy policy describes. The licence ends when your content is deleted.
We do not train AI models on your content. The model vendor your agents use handles your prompts and output under its own terms, including how it uses that data.
We may use usage records and analytics events to run, fix and improve Pinework. These hold counts, timings, model names, page paths and ids, not your content. Analytics are on by default for signed-in users, for genuine business use, and you can turn them off in settings. We do not track visitors who are not signed in.
You confirm you have the rights to the content you give us.
8. What you must not do
Do not use Pinework, or let an agent use it, to:
- break the law, or infringe someone's rights
- reach a system, account or data you are not allowed to reach
- break another service's terms, rate limits or access controls
- reach another customer's company or workspace, or probe, scan or load-test Pinework without our written consent
- build or spread malware, or attack any system
- send spam, phish, or impersonate someone
- mine cryptocurrency, or run work unrelated to your agents, in our cloud sandboxes
- get around limits on runs, devices or plans, or our billing
- resell or share access to Pinework without our written agreement
- make decisions with legal or similar effect on people with no human review
- control systems where a failure could cause death, injury or environmental harm.
Do not put special category data, such as health data, or payment card numbers into Pinework unless your work needs them.
Report a security problem to contact@pinework.ai. Testing that stays inside your own workspace, and stops once you find the problem, does not break this section.
9. Plans, trials and payment
Plans. The plans on sale and their prices are shown before you pay. Prices exclude VAT and similar taxes, which we add where the law requires.
Trials. A plan may start with a free trial. Its length is shown before you start. If you add no payment method, the plan ends when the trial ends.
Renewal. A plan renews at the end of each billing period and charges your payment method, until you cancel.
Cancelling. Cancel at any time on the billing page. You keep the plan until the end of the period you paid for.
Refunds. Fees are not refundable, with two exceptions: the law requires a refund, or we end these terms without fault on your side. Then we refund the unused part of a period you prepaid.
Unpaid plans. If your plan ends or a payment fails, we may make your workspaces read-only and stop running work. Paying again restores them.
Price changes. We email you 30 days before a price rises. The new price applies from your next renewal after that.
Our payment provider processes payments. We never see your full card number.
10. Availability and changes
We work to keep Pinework running, but we promise no uptime and offer no service level. Pinework may be slow, down or lose work.
We may change or remove any feature. If we remove a feature your paid plan relies on, we tell you first, and you may cancel with a pro-rata refund.
11. Backups
We do not promise to back up your content. Keep your own copies of anything you need, such as your code in your own repositories.
12. Suspension and ending these terms
You can stop at any time. Cancel your plan or delete your account in the dashboard.
We can suspend your account or any run at once, without notice, if:
- it threatens the security of Pinework, of other customers or of anyone else
- you break section 8
- the law requires it.
We tell you why, unless the law or security stops us.
We can end these terms:
- at once, if you materially break them and do not fix it within 10 days of our email
- for any reason, with 30 days' email notice and a pro-rata refund of prepaid fees.
When these terms end, we delete your data as our privacy policy describes. Sections 4, 7, 13, 14, 15 and 18 survive.
13. No warranty
Pinework, agents and their output come "as is" and "as available". To the extent the law allows, we give no warranty of any kind. That includes fitness for a purpose, accuracy and freedom from errors.
14. Limit of our liability
To the extent the law allows:
- we are not liable for indirect or consequential loss, lost profit, lost revenue, lost data or the consequences of an agent action
- our total liability under these terms is capped at the greater of the fees you paid us in the 12 months before the claim, or EUR 100.
Nothing in these terms limits liability for intent or gross negligence, for death or personal injury, or that the law does not let us limit.
15. Your responsibility to us
You will compensate Netarkauf SRL for losses, costs and reasonable legal fees from a third-party claim caused by:
- your content
- your agents' actions
- your breach of these terms, or of a model vendor's or another service's terms.
We tell you about the claim promptly and let you take part in the defence.
16. Personal data in your content
Our privacy policy covers personal data we decide how to use, such as your account and billing details.
Your content may hold personal data about other people. For that data, you decide how it is used and we process it for you. We:
- process it only to run Pinework for you, on your instructions in these terms and your settings
- keep it confidential, and bind everyone who handles it to confidentiality
- protect it as our privacy policy describes
- use only service providers of the kinds our privacy policy lists
- help you answer requests from people about their data
- tell you without undue delay after we learn of a breach that affects it
- delete it when you delete it or your account, as our privacy policy describes.

17. Changes to these terms
We email you 30 days before a material change takes effect. If you do not agree, cancel before that date and we refund the unused part of a prepaid period. If you keep using Pinework after that date, the new terms bind you.
Small changes, such as fixing a typo, take effect when we publish them.
18. Law and courts
Romanian law governs these terms.
If you have a dispute with us, email contact@pinework.ai first and tell us what is wrong. We try to fix it within 30 days. If we cannot, the competent courts of Romania decide it.
19. General
- These terms and our privacy policy are the whole agreement between us about Pinework.
- If a court strikes out part of these terms, the rest still applies.
- If we do not enforce a right at once, we have not given it up.
- You may not transfer these terms without our written consent. We may transfer them to a buyer of our business, and we will tell you.
- Neither of us is liable for a delay caused by events outside our reasonable control.
- We send notices to the email on your account. Send yours to the address below.
- These terms are written in English. If we publish a translation, the English text governs.
